MUTUAL NON-DISCLOSURE AGREEMENT
This Mutual Non-Disclosure Agreement ("Agreement") is entered into between AI Academic Consultancy ("Service Provider") and the Client ("Recipient"), collectively referred to as the "Parties."
1. Purpose
The Parties wish to explore a potential business relationship in connection with academic research consultancy services. In the course of this relationship, each Party may disclose certain confidential and proprietary information to the other Party.
2. Definition of Confidential Information
"Confidential Information" means any data, documents, research materials, datasets, algorithms, code, methodologies, results, analyses, business information, or other materials disclosed by either Party that is marked as confidential or should reasonably be understood to be confidential.
3. Obligations
- Each Party agrees to hold Confidential Information in strict confidence.
- Neither Party shall disclose Confidential Information to third parties without prior written consent.
- Each Party shall use Confidential Information solely for the purpose of the consultancy engagement.
- Each Party shall protect Confidential Information with at least the same degree of care used for its own confidential information.
4. Exclusions
Confidential Information does not include information that:
- Is or becomes publicly available through no fault of the receiving Party
- Was already known to the receiving Party prior to disclosure
- Is independently developed without use of Confidential Information
- Is required to be disclosed by law or court order
5. Duration
This Agreement shall remain in effect for a period of three (3) years from the date of last disclosure of Confidential Information. The obligations of confidentiality shall survive termination of this Agreement.
6. Return of Materials
Upon termination of the business relationship or upon request, each Party shall return or securely destroy all Confidential Information received from the other Party within thirty (30) days.
7. Governing Law
This Agreement shall be governed by and construed in accordance with applicable international commercial law and the laws of the jurisdiction agreed upon by both Parties.
